As the Senior Corporate Paralegal you will assist company attorneys and Sr. Director, Legal Services in all stages of corporate transactions and with the preparation legal/business documents necessary to comply with federal, state, and local regulations in the conduct of business activities. Also assists with forming, maintaining, and dissolving different types of legal entities, mergers and acquisitions, commercial transactions, intellectual property, real estate, and government relations. Conduct research from law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes, draft legal/contractual documents and perform related administrative duties/support activities. Prepare agreements, instruments, documents, and pleadings relating to litigation and non-litigation matters.
ESSENTIAL JOB FUNCTIONS:
Prepares proforma agreements and transactional documents, instruments (e.g. Consulting Agreements, Delegations of Authority, Non-Disclosure, Powers of Attorney, etc. relating to litigation and non-litigation matters.
Perform sensitive and confidential tasks, including internal investigations and updating litigation and other significant matters into the LawTrac system to track caseload/assignments/deadlines.
Assist with corporate governance maintenance of legal entities and document preparation, including tracking/filing of annual reports and business licenses, subpoenas, and other corporate secretarial support.
Assist in coordinating due diligence/vetting requirements with third-party business candidates.
Assist Finance and other business support functions regarding corporate information and opening new bank accounts, proposal submissions, etc.
Assist with domestic qualifications and foreign business registrations, including but not limited to tracking/renewing and document legalization/authentication for use in foreign countries.
Support standard corporate secretarial functions with respect to drafting minutes, resolutions and other governance documents including updating minute book records.
Perform other administrative duties, including, but not limited to: prepare PowerPoint presentations; Excel spreadsheets, word processing, document retention, scheduling meetings in Outlook; and coordinate/assist with travel and expense reports through CONCUR.
Assist in processing legal invoices and preparing budget information.
EDUCATION & EXPERIENCE:
Bachelor's degree with 6 years of experience in an in-house Legal Department or Associate Degree and/or Paralegal Certificate with 10 years of experience in corporate in-ho use Legal Department
LICENSE & CERTIFICATIONS:
Certified Paralegal Accreditation preferred.
Notary Public (or willingness to become a notary public)
KNOWLEDGE & SKILLS:
Complete understanding of paralegal principles, concepts, practices, and standards. Proficient with Microsoft Office (Word, Excel, and PowerPoint) programs.
Possess verbal, analytical, and written communication skills. Also possess problem-solving skills, including the ability to make logical and informed decisions.
Must be detail-oriented with the ability to track/multi-task in a high-volume, demanding environment and manage competing priorities.
Must have ability to maintain complete confidentiality and discretion in business relationships and exercise sound business judgment.
SECURITY CLEARANCE: Active SECRET clearance, or the ability to obtain.
